What is the difference between an AG and a GmbH?

An AG (Aktiengesellschaft) is Germany’s equivalent of a corporation (comparable to a US C-Corp). It issues shares (Aktien), requires a minimum share capital of €50,000, and is governed by a two-tier board structure consisting of a Vorstand (management board) and an Aufsichtsrat (supervisory board). A GmbH (Gesellschaft mit beschränkter Haftung) is simpler, privately held, and does not issue publicly tradeable shares. Publicly listed German companies are typically organized as AGs.
